ONE Enterprise License (Version 1.0)

Draft — not legal advice.
The ONE Enterprise License includes all rights granted by the ONE License (Version 1.0) and removes the Brand Requirement. It is the paid, white-label tier.
What Changes
Under the free ONE License, deployed products must retain the ONE brand, logo, and link.
Under the ONE Enterprise License, you may remove, replace, or omit all ONE branding and present the product under your own brand.
Everything else remains the same.
Grant
While your Enterprise subscription or agreement is active, ONE grants you a worldwide, non-exclusive license to use, modify, distribute, sell, resell, host, and monetize the Software without the Brand Requirement.
You may white-label the Software and present it as your own.
Sublicensing is permitted solely for your own products and services. You may not sublicense or transfer the white-label right itself to a third party for their independent use or further sublicensing.
All other rights and conditions of the ONE License remain unchanged.
Term
“Active” means a valid Enterprise subscription or agreement is in effect with no outstanding unpaid invoices more than 14 days past the due date.
The white-label right applies while your Enterprise subscription or agreement remains active. It ends if the subscription or agreement expires, is terminated, or is materially breached and not cured within 30 days of written notice.
White-label is a state, not a permanent grant. When the right ends, the free ONE License governs all continued use, and its Brand Requirement — the ONE link — resumes across every deployment after a 30-day transition period. Existing deployments need not be rebranded; the link must simply be restored.
Ownership
ONE retains ownership of the Software and all intellectual property rights in the Software.
You retain ownership of your modifications, data, content, configurations, and branding.
You are never required to disclose your source code or data.
Trademarks
ONE, the ONE logo, and associated branding are trademarks of ONE.
Except as expressly permitted by this license, no trademark rights are granted.
Audit Rights
ONE may verify compliance with this license once per 12-month period on 10 business days’ written notice. You will provide sufficient information to confirm white-label use is limited to active Enterprise deployments. Audit costs are borne by ONE unless a material breach is found.
Support and Commercial Terms
Pricing, support, service levels, scope, and subscription terms are defined by the applicable order form, subscription agreement, or platform purchasing mechanism provided by ONE.
Warranty and Liability
The Software is provided “AS IS” except where expressly stated in a separate written agreement.
To the maximum extent permitted by law, ONE’s liability is limited to amounts paid under the applicable Enterprise agreement in the 12 months preceding the claim.
Assignment
This license is not assignable or transferable without ONE’s prior written consent, except to a successor in a bona fide merger, acquisition, or sale of substantially all assets.
Governing Law and Disputes
This license is governed by the laws of Ireland. The parties will attempt to resolve disputes through good-faith negotiation. If necessary, disputes will proceed to mediation under the Mediators’ Institute of Ireland rules, and then to binding arbitration under the Arbitration Act 2010, seated in Dublin, conducted in English.
Survival
The sections relating to ownership, trademarks, warranty disclaimers, liability limitations, dispute resolution, and rights granted to deployments created during an active Enterprise term survive termination.
